Terms & Conditions

Welcome to Preppp Inc. (“Preppp”, “we”, “our”, or “us”). This Terms and Conditions / End User License Agreement ("Agreement") governs your access to and use of our website (www.preppp.com), mobile applications, online services, live classes, AI tools, and any related services (“Services”).

By accessing, registering, or using Preppp’s Services (free or paid), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you may not access or use our Services.

1. Eligibility

You must be:

  • At least 12 years old to use Preppp’s Services. If under 18, your parent or legal guardian must consent to this Agreement.

  • Legally permitted to enter into this Agreement under the laws of your jurisdiction.

  • If you are enrolling a child under 13, by proceeding you represent and warrant that you are the child’s parent or legal guardian and expressly consent to all terms on the child’s behalf, including collection, use, and disclosure of the child’s personal information as described in our Privacy Policy.

2. User Accounts and Access

  • You must create an account to access our Services.

  • You agree to provide accurate and updated information.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Services Offered

Preppp offers:

  • Live virtual classes and tutoring for Grades 7–12 in Math, Science, Physics, and Chemistry.

  • AI-powered educational assistance tools.

  • Personalized learning paths and performance tracking.

We reserve the right to modify or discontinue any part of the Services at any time.

4. Payments and Subscriptions

  • All payments are processed securely via Stripe.

  • Fees are in Canadian Dollars (CAD), unless otherwise stated.

  • Refunds are governed by our Refund Policy.

  • Subscription auto-renewals may apply unless canceled.

5. Intellectual Property (IP) Rights

  • All content, tools, software, video recordings, lesson materials, whiteboards, and AI responses are the intellectual property of Preppp Inc. and protected by copyright, trademark, and other applicable laws.

  • By using the Services, you grant Preppp a perpetual, worldwide, royalty-free license to use, reproduce, adapt, publish, and display any content you create or share on the platform (e.g., questions, feedback, assignments), for improving the platform or promotional purposes.

  • You may not modify, copy, distribute, or create derivative works without our written consent.

6. Use of Artificial Intelligence and LLMs

  • Preppp leverages Large Language Models (LLMs), AI tutors, and content recommendation engines to deliver personalized learning.

  • While these tools are designed to assist learning, they do not replace human teachers and must not be solely relied upon for academic outcomes.

  • You understand that AI-generated responses may contain inaccuracies, and you agree to use discretion in interpreting AI output.

  • Preppp is not liable for any academic, personal, or financial consequences resulting from AI-generated advice, content, or decisions.

7. Acceptable Use

You agree with:

  • Use Services solely for educational purposes.

  • Not reverse-engineer, scrape, hack, or tamper with our systems or software.

  • Not use the Services for unlawful, abusive, or inappropriate conduct (e.g., harassment, cheating, uploading harmful content).

  • Not record, distribute, or publicly share content from classes or sessions without written consent.

8. Data Privacy and Confidentiality

  • Your personal data is collected, stored, and processed in accordance with our Privacy Policy.

  • We comply with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable laws.

  • Session recordings, user interactions, and AI tool usage may be stored for quality control, safety, and platform enhancement.

  • We do not sell or rent user data to third parties.

9. Recordings and Monitoring

  • All live sessions may be recorded for quality assurance, legal protection, teacher training, and content development.

  • By using Preppp, you grant us permission to record and retain your audio, video, chat, and whiteboard activity.

  • These recordings may be reviewed internally or reused for training or marketing purposes in anonymized form.

10. Limitation of Liability

To the maximum extent permitted under law:

  • Preppp Inc., its directors, employees, contractors, or agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Services.

  • Our total liability to you shall not exceed the amount you paid (if any) in the preceding 6 months.

11. Disclaimer of Warranties

Preppp’s Services are provided “as-is” and “as-available”.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee the accuracy, completeness, or outcomes of using our Services.

12. Termination

We may suspend or terminate your account without notice if you:

  • Violate this Agreement.

  • Engage in conduct harmful to Preppp, its users, or third parties.

  • Attempt to abuse, hack, or misuse our platform.

You may also cancel your account at any time. Your obligations under IP, confidentiality, and limitation of liability survive termination.

13. Indemnification

You agree to indemnify, defend, and hold harmless Preppp Inc., its affiliates, employees, directors, agents, and contractors from any claims, losses, damages, liabilities, and legal fees arising from:

  • Your use of the Services.

  • Violation of this Agreement or applicable laws.

  • Any content you submit or create through Preppp.

14. Modifications to Terms

We may update or modify this Agreement from time to time. Changes will be posted on our website with the “Last Updated” date.
Continued use of the Services after changes implies acceptance.

15. Privacy Policy

Preppp Inc. is committed to protecting your privacy. This section summarizes how we collect, use, and safeguard your personal information.

15.1. Data Collected

We collect the following types of data:

  • Account Data: Name, email, phone number, age, parent/guardian info (if minor).

  • Academic Data: Grades, learning performance, assessments, class participation.

  • Payment Data: Processed securely via Stripe; we do not store full card info.

  • Device and Usage Data: Browser, device, IP address, session activity.

  • Audio/Video: Recordings of live classes for quality and compliance.

15.2. How We Use Your Data

  • To deliver personalized learning and AI-based recommendations.

  • To improve our Services using performance analytics.

  • To respond to your queries and customer support needs.

  • To protect platform integrity and detect misuse.

  • For marketing and communication (with opt-out options).

15.3. Data Storage & Security

  • All data is stored securely using industry-standard encryption and cloud services.

  • Session recordings and student data are retained only as long as necessary for academic/legal purposes.

15.4. Your Rights (under PIPEDA)

  • You may:

  • Request access to your personal data as long as you are a bona fide user of Preppp’s services.

  • Request corrections or deletions.

  • Withdraw consent (subject to account termination).

  • Lodge a complaint with the Office of the Privacy Commissioner of Canada.

15.5. Sharing with Third Parties

  • We do not sell or rent personal data.

  • Limited data may be shared with service providers (e.g., Stripe, AI tools) strictly under confidentiality agreements.

16. Makeup Classes

  • A maximum of two (2) makeup classes may be granted per month of the subscription package.

  • Makeup classes must be scheduled and completed within 7 days of package expiry.

  • Unused makeup classes expire automatically and cannot be carried forward, refunded, or transferred.

  • Attending scheduled sessions is purely students’ responsibility and no separate reminders for the scheduled classes will be sent by Preppp or its instructors or administrators.

  • For any change in schedule, a minimum of 24 hours’ notice is needed.

17 Refund Eligibility

Preppp Inc. is committed to transparency and fairness in its billing practices. However, by subscribing to our Services, you acknowledge that Preppp invests significant resources into onboarding, teacher scheduling, and operational delivery. Therefore, refunds are strictly limited under the following terms:

17.1. Eligibility

  • Refund requests are eligible only within the first 7 calendar days from the start date of the first paid package.

  • Refunds will only be considered if the student has attended no more than 2 classes during that period.

  • The request must include a valid reason and justification, which will be reviewed by Preppp.

  • Approval of refunds is at the sole discretion of Preppp Inc. Submitting a request does not guarantee a refund.

17.2. Demo Sessions

  • Free demo sessions are offered only when explicitly stated in a promotion or package.

  • Not all plans include demo sessions, and absence of a demo session does not qualify for a refund claim.

17.3. Non-Refundable Circumstances

  • Refunds will not be provided in the following situations:

  • After the first 7 calendar days of the subscription period.

  • If more than 2 paid classes have been attended.

  • Missed, unattended, or late-joined sessions, regardless of reason.

  • Dissatisfaction with teaching style, subject difficulty, or personal learning outcomes.

  • Changes in student’s personal schedule, exams, vacations, or extracurricular commitments.

  • Termination of services due to violation of Preppp’s Terms & Conditions or Code of Conduct.

  • Technical issues caused by the user’s device, internet connection, or software.

17.4. Discretion and Finality

  • All refund decisions are made exclusively by Preppp Inc. management.

  • Refund approvals, denials, and amounts (if partial refund is offered) are final and binding.

  • Preppp reserves the right to deduct administrative or processing fees from approved refunds.

17.5. Refund Process

  • Requests must be emailed to info@preppp.com within the eligibility period.

  • The email must contain:

    • Student’s full name and account ID.

    • Package details.

    • Reason and justification for cancellation.

  • If approved, refunds will be processed within 10 business days via the original payment method.

17.6. Fraud or Abuse

  • Preppp reserves the right to deny refunds and suspend accounts if fraudulent, abusive, or excessive refund requests are suspected.

  • Abuse includes, but is not limited to: enrolling, attending sessions, and then seeking refunds repeatedly, or sharing accounts for unauthorized access.

17.7. Non-Transferability

Subscriptions, packages, makeup classes, and refund eligibility are strictly non-transferable to another student, account, or package.

18. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of laws principles.
Any disputes shall be resolved exclusively in the courts of Ontario.

19. Force Majeure

Preppp shall not be held liable for failure or delay in performance due to causes beyond its control, including but not limited to natural disasters, wars, cyberattacks, pandemics, or governmental actions.

20. Entire Agreement

This Agreement, along with our Privacy Policy, Refund Policy, and any other documents referenced herein, constitutes the entire understanding between you and Preppp and supersedes all prior agreements.
